Terms of Service

# Introduction

Compete Enterprise Group, Inc. DBA Help Flow provides online customer communication services to businesses. By using these services, you agree to be bound by these Terms of Service.

# Services

Help Flow agrees to provide services including:

  • Configuration of communication channels within HelpFlow's controlled system, such as website chat code or social media account access.
  • Support and troubleshooting outside HelpFlow's controlled system at Help Flow's sole discretion.
  • Making Help Flow Agents available on specific communication channels included in your plan.
  • Providing information to prospects and customers using FAQ content approved by you and additional guidance.

Services are made available on a best effort basis, subject to occasional interruptions including technical failure or maintenance of the website chat system.

# Term and Termination

The agreement begins when you pay your first service fee and continues monthly thereafter, automatically renewing unless terminated.

Either party may terminate by providing written notice via email at least 30 days before the current term ends. Without 30-day notice, termination occurs at the end of the subsequent term.

Help Flow may suspend services for breach until rectification. Help Flow may terminate at any time with 30 days' notice at its sole discretion.

Upon termination, all licenses and access rights immediately terminate.

# Your Responsibilities

You agree to use services in accordance with applicable laws, industry regulations, and Help Flow policies.

You agree not to use services in connection with illegal, defamatory, or otherwise problematic businesses.

You take sole responsibility for maintaining, backing up, and safeguarding your website and communication channels. Help Flow assumes no responsibility for errors, lost data, or negative impacts from your system downtime.

You agree to participate in all pre-launch steps including:

  • Providing information for initial FAQs.
  • Providing Google Analytics and Google Tag Manager access per Help Flow's instructions.
  • Reviewing, revising, and approving FAQ material.
  • Configuring communication channels with Help Flow's instructions.
  • Meeting to discuss necessary details.

You agree to complete all Help Flow requests within 3 business days that are required to continue providing services, including:

  • FAQ content review and approval.
  • Communication channel configuration.
  • Clarification of previously provided details.
  • Other required requests.

# Payment Terms and Refund Policy

You agree to pay all fees in advance for services.

If you fail to pay fees by the due date, Help Flow may immediately suspend your services in addition to any other remedies.

You are not entitled to any full or partial refund of advance fees paid.

# Intellectual Property Rights

Customer purchases only services from Help Flow. Any content, technology, processes, or other assets created before, during, or after service delivery are owned by Help Flow, except intellectual property owned by Customer prior to project start, including trademarks and patents.

You agree not to publish, copy, alter, or access services to build competitive products or copy features.

Content created by HelpFlow, such as FAQs and knowledge base content, can be used by you while you're an active Customer and after termination if you've paid at least $4,000 in fees. Content cannot be used if services terminate before reaching this threshold.

# Confidentiality

Help Flow will take reasonable steps to secure confidential information provided by Customer, including customer lists, employee information, and business financial details. Help Flow will use this information only for performing services and will not disclose it outside the agreement scope.

Restrictions do not apply to information that:

  • Is or becomes publicly known without agreement breach.
  • Was known to Help Flow prior to Customer disclosure.
  • Can be shared after removing customer-identifying information such as name, website address, product names, or other reasonably identifying details.

# Right to Publish

You grant Help Flow the right to use and publish your name, logo, and trademarks for identifying you as a current or past Help Flow customer, within confidentiality requirements.

# Warranties and Guarantees

Help Flow does not warrant complete service continuity or future functionality.

Except as defined in this agreement:

  • Customer is solely responsible for results from service use.
  • Help Flow assumes no liability for damage from errors or omissions in information or instructions.
  • Services are provided on an "as is" basis.
  • All implied warranties, representations, and conditions are excluded to the extent applicable law permits.

# Limitation of Liability

Help Flow assumes no risk in interactions between Help Flow and your prospects or customers.

Customer remedy is limited to Help Flow providing services again or refunding payment, at Help Flow's discretion.

Customer is not entitled to incidental, consequential, or other damages, including loss of revenue, website traffic, goodwill, or reputation.

# Indemnity

Customer agrees to indemnify and keep Help Flow indemnified against any third-party claim arising from Help Flow services.

# Waiver and Amendment

Help Flow reserves the right to modify or replace terms at any time at its sole discretion.

For material changes, Help Flow will notify you by posting an announcement on the website and by email within 24 hours if requested. Help Flow determines what constitutes material change.

You are responsible for reviewing modifications. Using services after notification constitutes acceptance of modified terms.

Waiver of a breach does not constitute waiver of subsequent breaches.

# Severance

If any agreement part is found invalid, it shall be severed and remaining parts remain in force.

If an invalid part would be valid with deletion, it applies with necessary modifications to reflect both parties' commercial intent.

# Assignment

Help Flow reserves the right to assign, transfer, sub-contract, or deal with its rights or obligations at any time without notice to you.

# No Partnership or Agency

This agreement creates no relationship, partnership, or agency between you and Help Flow and does not authorize either party to act as the other's agent or bind the other in any way.

# Jurisdiction

You agree this agreement was entered into in San Diego County, California. It is governed by California law and any disputes shall be decided through binding arbitration by the American Arbitration Association in San Diego County, California.

# Acceptance of Terms of Service

By subscribing for or receiving services, you accept these Terms of Service.

# Total Agreement

This agreement and directly referenced documents constitute the entire agreement between you and Help Flow.
